Successful Dismissal of Federal Case Against Firm’s Client for Lack of Personal Jurisdiction

In a significant triumph, our firm secured a complete dismissal of all claims for our nonresident clients, defendants in a high-stakes federal case before the United States District Court for the Southern District of Florida, as decided on June 1, 2025. The dispute centered on a $675,000 asset purchase agreement for Studygate.com, an online learning platform, where Florida-based plaintiffs alleged breach of contract, fraud, civil conspiracy, and unjust enrichment, claiming defendants misrepresented financials and engaged in deceptive practices. Our defense strategy focused on challenging personal jurisdiction, leveraging Florida’s long-arm statute and constitutional due process principles. At a critical evidentiary hearing on May 23, 2025, we presented compelling arguments and evidence, including testimony highlighting the absence of a forum selection clause in the primary agreement and the defendants’ minimal contacts with Florida. We successfully demonstrated that the plaintiffs failed to meet their burden of proving jurisdiction by a preponderance of evidence, as the defendants neither conducted substantial business in Florida nor directed tortious acts toward the state. The court’s dismissal of all six counts underscored our adept handling of complex jurisdictional issues, meticulous preparation, and unwavering commitment to protecting our clients from unfounded litigation, reinforcing our reputation for delivering exceptional results in intricate commercial disputes.
